1. Acceptance of Terms
By accessing or using any part of the WallStreetPrompt website (the "Site"), course materials, community forum, or related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (the "Terms") and our separate Legal Disclaimer. If you do not agree, do not use the Service.
2. Eligibility
- You must be at least 18 years old and legally capable of entering a binding contract.
- You represent that you are not on any U.S. or international sanctions list and that you will use the Service in compliance with all applicable laws and regulations.
3. Account Registration & Security
- You may need to create an account to access certain features. You agree to provide accurate information and keep it current.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
4. Subscriptions, Billing & Auto‑Renewal
- Plans: WallStreetPrompt is offered as a recurring subscription billed monthly or annually (your "Plan").
- Auto‑renewal: Plans renew automatically until canceled. You authorise us to charge the payment method on file at each renewal.
- Cancellation: Cancel anytime in your account settings. Access remains active through the end of the paid term.
5. Intellectual Property & Licence
- All videos, prompts, PDFs, code snippets, and other content (the "Content") are the intellectual property of WallStreetPrompt LLC or its licensors.
- We grant you a limited, non‑exclusive, non‑transferable licence to access the Content for your personal, non‑commercial use while your subscription is active.
- You may not: (i) resell, share, or publicly display the Content; (ii) train AI models with, scrape, or mass‑download the Content; (iii) create derivative works for commercial use without written permission.
6. User Conduct
You agree not to:
- Violate any law or regulation while using the Service.
- Post or transmit any content that is unlawful, harassing, hateful, or infringing.
- Use the Service to solicit, offer, or promote personalised investment advice or securities transactions.
- Attempt to gain unauthorised access to other accounts or to the Service's backend systems.
7. Third‑Party Links & Tools
The Service may reference third‑party websites or tools (e.g., OpenAI, FRED, Kalshi). We do not control and are not responsible for third‑party content or practices. Your use of such sites is at your own risk.
8. Disclaimers & Limitation of Liability
- The Service is provided "as is" without warranties of any kind, express or implied.

- To the fullest extent permitted by law, WallStreetPrompt LLC, its owners, and contributors will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
9. Indemnification
You agree to indemnify and hold harmless WallStreetPrompt LLC and its affiliates from any claim, loss, or demand (including legal fees) arising out of your breach of these Terms or misuse of the Service.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict‑of‑law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Miami‑Dade County, Florida. You consent to personal jurisdiction in those courts.
11. Modifications to the Terms
We may update these Terms at any time. Material changes will be announced via email or on the Site. Continued use after updates constitutes acceptance of the revised Terms.
12. Termination
We reserve the right to suspend or terminate your account and access to the Service for violation of these Terms or for any behaviour that, in our sole judgement, harms other users or WallStreetPrompt.
13. Severability
If any provision of these Terms is held unlawful or unenforceable, the remaining provisions will remain in full force.
